The proposed Bylaws changes were in development for over one year.  This is actually a total revision, rather than minor changes.  The proposed Bylaws took out most of the procedure, and left only structure.   

The companion piece – the OOTA Policies and Procedures – was also developed.  This document contains the procedure and details.  Whereas Bylaws should rarely be changed, Policies and Procedures can be updated relatively easily.  These changes will give us more useful ways to operate. 

The Bylaws revision was reviewed and approved by the OOTA Executive Board.   

The proposed changes were sent to the OOTA Web Page on December 30.  In early January, an email notice was sent to OOTA members informing them that the proposed Bylaws changes were posted for review.  

The proposed changes were presented to the OOTA Business Meeting on February 2, 2008, with time for questions and answers.   

Having meet all of the requirements for amendments as delineated in the current OOTA Bylaws, 314 mail ballot were sent out to all OOTA members in mid-February with a March 1 deadline for return of the ballots. 

By March 1, 43 ballots were returned (a 14% return rate), all voting in the affirmative. 

Therefore, the Bylaws revision has been adopted, and the new Bylaws are now in effect.

The Executive Board approved a complete revision to the OOTA Bylaws at the November meeting, which is now being submitted to the membership for a vote.  The proposal will be discussed at the general OOTA meeting on February 2, 2008.  Voting on the change will take place after the discussion. 

You should have the current version of the Bylaws in your 2008 Membership Handbook, which was just mailed to you.   

The proposed revision, as well as a comparison between the current Bylaws and the proposed Bylaws, is available on the OOTA website.  Click here to view these documents.

The proposed Bylaws remove most of the policy and procedure information from the document, and leave basic structure.  The policies and procedures will then be included in an expanded version of the OOTA Policy and Procedure Manual, which can be updated more easily than the Bylaws.

The Executive Board is looking at extensive changes in the OOTA Bylaws.  Once they are fully developed, the changes will be posted on our web site for members review.  The Bylaws changes will be discussed at the February 2 meeting, so be prepared to provide feedback.  The areas with the most changes are membership categories, requirements to hold office, Executive Board responsibilities, and committee structure.
